Version 1.0, effective 15 October 2026. Translation; in the event of differences, the Dutch version prevails.

1. Who we are and definitions

These terms are issued by STUDIO FOR3, a sole proprietorship located at Noorwegenkade 546, 1363 DS Almere, the Netherlands, registered with the Chamber of Commerce under number 86473794, VAT number NL004270618B82, trading as FOR3 ("FOR3").

  • Client: the business or organisation that enters into an agreement with FOR3 or receives a quote.
  • Quote: FOR3's written or digital offer, with a unique number and version number.
  • Agreement: the arrangement between FOR3 and the Client that arises from acceptance of a quote, including these terms.
  • Services: all work by FOR3, such as strategy, brand, websites and digital products, campaigns, measurement, reporting and making FOR3 OS available.
  • One-off fee, monthly fee and performance fee: the fees as stated per line in the quote.
  • External costs: third-party costs, such as media budget, software, licences, hosting, domain names and external production.
  • FOR3 OS: FOR3's online platform, including the client environment, where quotes, agreements, projects, documents, invoices and results are available.
  • In writing: by letter, email or via FOR3 OS.

2. Applicability

These terms apply to all quotes, agreements and services of FOR3. They apply only to clients acting in the course of a profession or business; FOR3 does not enter into agreements with consumers.

The Client's general terms do not apply unless FOR3 has expressly accepted them in writing. Deviations from these terms apply only if agreed in the quote or in writing.

An agreement is governed by the version of these terms stated in the accepted quote. A new version applies only to quotes sent after it.

If a provision is void or voidable, the remaining provisions remain in force. The parties will replace that provision with a valid provision that comes as close as possible to its intent.

3. Quotes

A quote is without obligation and valid until the date stated in it. If no date is stated, the quote is valid for thirty days.

A quote describes the services, the fees by type (one-off, monthly or per performance), the payment schedule, the start date, the initial term, the notice period and the external costs known at that time.

Each quote sent receives a fixed version with a digital fingerprint. If FOR3 changes a quote, a new version is created and the previous one lapses. Only the version accepted by the Client is binding.

Obvious errors or mistakes in a quote do not bind FOR3.

4. Formation and online acceptance

The agreement is formed when the Client accepts the quote. This can be done online via the personal link in the quote, in writing or by a signed copy.

When accepting online, the signatory confirms their identity with a one-time code sent to the addressee's email address, declares that they are authorised to represent the Client and expressly accepts the quote and these terms. These terms can be viewed and saved as a PDF before acceptance.

FOR3 records the acceptance with the quote version and fingerprint, the version of these terms, the signatory's name, role and email address, the time, the confirmation via the email code and technical data of the device. The Client receives a confirmation with the quote and these terms as PDF.

The parties accept this record as evidence of the agreement and its content, subject to proof to the contrary. An online acceptance has the same effect as a signed copy.

The Client warrants that the signatory is authorised. If this proves not to be the case, the Client is bound as soon as it allows performance to begin or pays the first invoice, and the signatory is also personally liable.

5. Term and termination

One-off services end once delivered and paid in full.

Services with a monthly fee apply for the initial term stated in the quote, eighteen months from the start month by default. Interim termination is not possible during the initial term; in the event of early termination at the Client's request, the monthly fees for the remaining initial term remain payable.

After the initial term the agreement continues for an indefinite period and either party may terminate it in writing as of the end of a calendar month, observing the notice period in the quote (one month by default).

Either party may dissolve the agreement with immediate effect in writing if the other party is declared bankrupt, applies for a suspension of payments, ceases its business, or fails to perform an essential obligation after written notice of default with a reasonable period.

On termination, fees for services delivered and approved performances remain payable. Amounts already invoiced are not credited unless the parties agree otherwise in writing.

6. Prices and payment

All amounts are in euros and exclusive of VAT, unless stated otherwise.

One-off fees are invoiced in advance upon acceptance and are payable before work starts, unless the quote contains a different payment schedule. FOR3 starts work after receipt of payment.

Monthly fees are invoiced monthly in advance, from the start month in the quote. If a direct debit mandate (SEPA) has been given, FOR3 collects the amount around the first day of the month.

Performance fees are invoiced monthly in arrears based on the numbers FOR3 establishes with supporting evidence, up to the agreed monthly maximum. The Client may lodge a reasoned objection to an established number within fourteen days of the invoice date; after that the number is deemed accepted.

The payment term is fourteen days from the invoice date, unless stated otherwise. FOR3 sends invoices digitally. Payment can be made by bank transfer, via the payment link or QR code on the invoice, or by direct debit if agreed.

If the Client does not pay on time, it is in default without further notice and owes the statutory commercial interest. FOR3 first sends a reminder. If payment is still not made, the extrajudicial collection costs according to the statutory scale are borne by the Client.

In the event of payment arrears, FOR3 may suspend performance, including access to delivered work and FOR3 OS, until payment has been made in full. Suspension does not affect the payment obligation.

The Client may not set off or suspend a payment on account of an alleged counterclaim.

7. External costs

External costs are stated in advance in the quote or in a supplementary proposal. They are borne by the Client and paid directly to the supplier, unless the quote provides otherwise.

If FOR3 advances external costs on request, these are invoiced in advance and passed on without mark-up, unless the quote provides otherwise.

Third-party services, such as advertising platforms, hosting and software, are subject to the terms of those third parties. FOR3 is not responsible for changes, outages or decisions of those third parties.

8. Performance and scope

FOR3 performs the services carefully and to the best of its ability. FOR3's obligations are best-efforts obligations. FOR3 does not guarantee specific results, such as numbers of visitors, enquiries, search engine rankings, revenue or growth; results also depend on factors beyond FOR3's control.

The scope is set out in the quote. Within that scope, the parties jointly set the priorities each month. FOR3 performs work outside the scope only after a new written agreement on content and fee.

Deadlines and planning are indicative unless expressly agreed as strict deadlines. If a delay is imminent, FOR3 consults the Client as soon as possible.

FOR3 may have work performed by carefully selected third parties. FOR3 remains responsible for performance.

FOR3 uses AI tools to support its work. Strategy, creative choices and everything that is published are reviewed and approved by people at FOR3.

9. Client cooperation

The Client provides in good time all information, materials, account access and approvals required for performance and warrants that they are correct.

The Client warrants that materials provided do not infringe third-party rights and that it is entitled to have them used. The Client indemnifies FOR3 against third-party claims in that respect.

Delays caused by a lack of cooperation are at the Client's expense. FOR3 may charge additional work resulting from this after consultation.

The Client remains owner and administrator of its own accounts, such as advertising, analytics and social media accounts, and remains responsible for the content of its own communications and compliance with legislation in its own operations.

10. Delivery and approval

FOR3 submits deliverables for approval. The Client responds within ten working days. Without a reasoned rejection within that period, or as soon as the Client starts using the deliverable, the delivery is deemed approved.

Minor defects that do not materially impede use do not prevent approval. FOR3 remedies them within a reasonable period.

11. Intellectual property

All intellectual property rights in what FOR3 creates specifically for the Client, such as designs, texts and websites, transfer to the Client once all amounts due for that work have been paid in full. Until then, the Client has a right of use for the duration of the agreement.

FOR3 retains all rights in FOR3 OS, its own software, methods, templates, components and know-how that FOR3 also uses for others. To the extent these form part of the deliverables, the Client receives a non-exclusive, perpetual right to use them for that work.

Third-party materials, such as stock images, fonts and open-source software, are subject to the licence terms of those third parties.

FOR3 may mention and show the work for the Client in its portfolio and presentations unless the Client objects in writing. FOR3 shares confidential information and results only with permission.

12. FOR3 OS and the client environment

FOR3 makes FOR3 OS available for the duration of the agreement, insofar as the quote states so. Access is personal; the Client ensures that its users keep their login details secret and reports misuse immediately.

FOR3 makes every effort to ensure good availability and security but does not guarantee uninterrupted operation. Where possible, FOR3 announces maintenance in advance.

The Client's data remains the Client's. After the end of the agreement, the Client may request an export of its data within thirty days. FOR3 then deletes that data, except data FOR3 is legally required to retain, such as invoices and the evidence of acceptance.

Figures in FOR3 OS are measured where possible and otherwise labelled as attributed or estimated. Measured and attributed results are shown separately.

13. Confidentiality

The parties keep the other party's confidential information secret and use it only for the performance of the agreement. This obligation also applies to employees and engaged third parties and remains in force for two years after the end of the agreement.

The confidentiality obligation does not apply to information that is already public, that a party lawfully obtained from someone else, or that a party must disclose under the law or a court ruling.

14. Personal data

If FOR3 processes personal data on behalf of the Client in the course of performance, such as enquiries and measurement data from the Client's website, FOR3 is the processor and the Client the controller. The parties enter into a data processing agreement for this, which forms part of the agreement.

FOR3 is itself the controller for the processing of data of the Client's contact persons. How FOR3 handles this is set out in the privacy statement on for3.studio.

15. Liability

FOR3's liability is limited to compensation for direct damage and to no more than the amount the Client paid for the agreement concerned in the twelve months before the event that caused the damage, subject to a maximum of the amount paid out by FOR3's insurer in the case concerned, where applicable.

FOR3 is not liable for indirect damage, including consequential damage, lost profits, missed savings, loss of data, damage due to business interruption, and damage caused by decisions or outages of third parties such as advertising platforms, search engines and hosting providers.

These limitations do not apply if the damage results from intent or deliberate recklessness of FOR3's management.

A claim for damages lapses if the Client does not report the damage in writing within thirty days of discovery, and in any event twelve months after the event that caused the damage.

16. Force majeure

In the event of force majeure, FOR3's obligations are suspended for as long as the force majeure lasts. Force majeure includes: internet, hosting or third-party outages, failure of third-party platforms, illness of key persons, government measures and cyber attacks.

If the force majeure lasts longer than sixty days, either party may dissolve the agreement in writing for the part not yet performed, without any obligation to pay compensation.

17. Complaints

The Client reports complaints about performance in writing and with reasons to FOR3 via info@for3.nl within fourteen days of discovery. FOR3 responds within ten working days and works with the Client to find a suitable solution.

A complaint does not suspend the payment obligation unless FOR3 declares the complaint well-founded.

18. Changes to these terms

FOR3 may change these terms. A new version applies to quotes sent after its publication. The accepted version continues to apply to existing agreements unless the parties agree otherwise in writing.

19. Governing law and disputes

All quotes and agreements are governed by Dutch law. The Vienna Sales Convention is excluded.

The parties will first try to resolve a dispute by mutual consultation. If that fails, the competent court of the District Court of Midden-Nederland has exclusive jurisdiction, unless the law mandatorily designates another court.
