Supplementary Terms Growth
Supplement to the General Terms and Conditions. The Dutch text is authoritative.
1. Applicability
1.1 These supplementary terms apply to agreements for the Growth package. They supplement the General Terms and Conditions of FOR3. In the event of conflict, these supplementary terms prevail, and the quotation or registration confirmation prevails over both.
2. Fee and payment
2.1 The monthly fee is €1,995 excl. VAT, unless the quotation states otherwise.
2.2 FOR3 collects the monthly fee monthly in advance by direct debit (SEPA), on the basis of a valid mandate and after advance notice (clause 6 of the General Terms and Conditions).
2.3 Media budget and external costs are not included and are paid by the Client itself (clause 7 of the General Terms and Conditions).
3. Term and termination
3.1 The initial term is 18 months from the starting month. Early termination is not possible, except through the exit arrangement in clause 5 and the grounds for dissolution in clause 5 of the General Terms and Conditions.
3.2 After the initial term, the agreement continues for an indefinite period. Either party may then terminate it in writing with effect from the end of a calendar month, subject to one month's notice. A new fixed period never follows automatically.
4. Monthly credits
4.1 Each month the Client receives the number of credits stated in the quotation (standard 80 per month). Credits can be spent on services from the credit catalogue in FOR3 OS, at the credit value stated there.
4.2 At the end of each calendar month the balance is topped up to the monthly maximum. Unused credits do not carry over to a following month and lapse without compensation.
4.3 The Client selects a service in FOR3 OS; the credits are then reserved. FOR3 approves the selection or proposes a better use. After delivery the credits are debited. A reservation made in a given month remains valid until delivery.
4.4 Credits have no monetary value, are not transferable and cannot be exchanged for money. They lapse upon termination of the agreement.
4.5 FOR3 may change the credit catalogue. FOR3 announces any change to the credit value of a service at least one month in advance.
5. Results agreement: exit after month 3
5.1 After the Growth Scan, the parties record in writing a measurable target relative to a baseline measurement (for example the number of Validated enquiries per month), together with the measurement method in FOR3 OS. Without a recorded target and baseline, this arrangement does not apply.
5.2 If the target has not been met at the end of month 3, the Client may terminate the agreement free of charge with effect from the end of month 3, provided that the Client has fulfilled all its own obligations during those three months, in particular:
5.3 The Client invokes this arrangement in writing within 10 working days of the end of month 3. Thereafter the right lapses.
5.4 The fees for months 1 to 3 inclusive remain payable and will not be refunded. The Client may continue to use delivered work that has been paid in full (clause 11 of the General Terms and Conditions).
5.5 This arrangement is a right of exit and not a guarantee of results. FOR3 does not guarantee any number of enquiries, contracts, revenue or growth. When measuring the target, measured and attributed results are reported separately; only the measurement method recorded in advance counts towards the target.
- a. approving proposals and deliverables, or rejecting them with reasons, within 5 working days;
- b. spending the agreed minimum media budget;
- c. following up enquiries within 1 working day, as visible in FOR3 OS;
- d. providing in good time the access, information and cooperation set out in clause 9 of the General Terms and Conditions.
6. Renewal proposal
6.1 No later than two months before the end of the initial term, FOR3 sends a proposal for the subsequent period. The proposal may include a new package, a different fee or a new term.
6.2 If the Client does not accept the proposal, the agreement continues in accordance with clause 3.2 on the existing terms. A new fixed period arises only through express acceptance.
7. Approval and AI
The use of AI and the approval of work are governed by the Clause on AI and risk-based approval (CLAUSULE_AI_GOEDKEURING.md).
